SKILLS AND EXPERIENCE REQUIRED
- Qualified Company Secretary
- Experience of working in a company secretary role
- Experience of working with companies in overseas jurisdictions
- Knowledge of relevant company law and company secretarial requirements
- Well-developed knowledge of board processes and procedures
THE ROLE
Reporting to the Group Company Secretary and joining a small Corporate Company Secretarial team, whose remit is the provision of a full range of corporate secretarial support in relation to the Group's subsidiaries. You will also provide board support to the Group's UK regulated entity Boards. The responsibilities include:
- Act as Company Secretary in relation to the Group's UK subsidiaries;
- Prepare agendas for UK subsidiary board meetings, attending meetings, preparing minutes, managing minute reviews and following up action items;
- Liaise with management regarding the provision and content of board papers;
- Provide corporate secretarial support in relation to the Group's overseas subsidiaries and branches;
- Liaise with overseas offices and third-party service providers to manage corporate secretarial compliance deadlines and corporate changes;
- Support the Group Secretariat team with ongoing meeting administration requirements for the UK regulated entity boards, including publication of meeting materials;
- Maintain and update statutory records for the Group;
- Ensure Companies House filings and facilitating overseas filings are made in a timely manner;
- Monitor and ensure completion of annual compliance requirements for all Group subsidiaries;
- Act as the Corporate Secretariat representative in connection with the Group's legal entity rationalisation project; and
- Assist with the identification and implementation of process improvements for the Corporate Secretariat team.
