They are a well established company formation agent and are an industry leader in terms of innovation and breadth of services. The company has a thriving company secretarial department that provides outsourced statutory support to approximately 3,000 professional clients. The clients are mostly chartered or certified accountants, but the company has a growing number of direct clients that present a unique and exciting opportunity. The right candidate will be exposed to a wide variety of work and will be given opportunity to grow and develop the business in a meaningful way.

The Role
The Company Secretarial Manager will be responsible for the day-to-day management of the company secretarial department which consists of three company secretarial assistants, but has significant scope to expand. The department provides the following services:

  • Formation and delivery of specialist UK company types using internally developed systems.
  • Preparation of minutes and resolutions for a wide range of transactional meetings including variation of share rights, share buy backs and bonus issues.
  • Drafting bespoke clauses for articles of association and shareholders' agreements to meet the client's specification.
  • Offering advice on compliance with UK Company Law.
  • Bespoke company secretarial support.
  • Maintenance of company registers.
  • Apostille/legalisation of documents.

Key requirements
The ideal candidate must:

  • Have previous experience in a similar role ideally gained within a professional services or comparable business services firm e.g. law firm, accountants, company registrar, company formation agent
  • Be able to demonstrate a knowledge of UK Company Law, and have significant practical experience of applying UK Company Law and drafting of articles.
  • Be self-motivated and proactive. Enthusiastic, confident with good organisational and administration skills. Flexible and able to effectively manage a number of priorities at any one time.
  • Possess good communication skills, both oral and written. The ideal candidate will enjoy building relationships with clients and working as part of a wider team.
  • Strong attention to detail and good IT skills are required.
