Company Secretary - Listed Funds

This is the London operation of a recently floated fund services group who provide high quality support services to both start-ups, new and larger and longer established fund structures. They work across a wide range of assets including real estate, debt, private equity, open-ended, alternative and London listed funds. They administer over £45 billion of assets for a range of institutions across 10 jurisdictions including the UK. They are now embarked on a period of expansion in London and are looking for a high quality, ambitious individual who wants to progress within an organisation.

This role will involve a large element of client contact, particularly at fund board level as well as with senior members of staff within our client base. Someone more experienced would also be team leader and mentor to two others. At the lower end they would probably be a newly qualified ICSA. This role is for someone who has a "can do attitude", not someone who wants to delegate everything. The role includes the following:

  • Arranging and attendance at client board & shareholder meetings
  • Preparation of board packs for distribution in advance of board meetings
  • Liaison with Directors, Promoters, Investment Advisors and Shareholders to arrange relevant meetings and


  • Drafting minutes of client board and shareholder meetings
  • Making statutory filings and notifications on behalf of client entities
  • Maintaining & updating the Acufund system for client statutory matters
  • Generally maintaining the statutory records of client entities
  • Ensuring that Companies administered are operating within the scope of their Memorandum and Articles of Association, law, regulation and stock exchange obligations
  • Maintaining meeting and corporate reporting schedules

To be considered for this role you should meet the following criteria:

  • Substantial relevant experience, predominantly in the London listed funds sector (investment trusts and/or real estate investment trusts and/or VCTS);
  • ICSA qualified or ACCA / ICAEW qualified accountant with relevant company secretarial experience;
  • Full working knowledge and understanding of company secretarial aspects of funds listed on the London Stock Exchange;
  • Full working knowledge and understanding of relevant company law and other applicable regulations including MAR;
  • Full working knowledge and understanding of regulations that are applicable to funds and related licensed entities;
  • Understanding of corporate governance principles and be able to adopt a professional yet commercial approach to the application of corporate governance within entities under administration;
  • Understanding of valuation/accounting/trading/corporate secretarial and all other aspects of administration of listed funds and related entities;
  • Excellent organisational skills;
  • Confident in abilities to communicate verbally and in writing;
